2.1 Acceptance of Terms

By accessing or using ConformVault, you agree to be bound by these terms of service (hereinafter "Terms"). If you do not accept these Terms, you must not use the platform.

These Terms constitute a contract between you (the "User") and Les Entreprises SecuAAS Inc. ("SecuAAS"), registered in Quebec under NEQ 1177504777.

2.2 Description of Service

ConformVault is a SaaS platform for end-to-end encrypted file storage and transfer, designed for businesses subject to personal information protection compliance requirements.

2.3 Eligibility

ConformVault is intended for professional use (B2B). By creating an account, you represent that:

You are at least 18 years of age
You have the legal capacity to enter into a contract
You are acting on behalf of a duly incorporated business or organization
You are authorized to bind that organization

2.4 User Account

You are responsible for:

The confidentiality of your login credentials
All activity conducted under your account
Immediately notifying SecuAAS of any unauthorized use

SecuAAS reserves the right to suspend or terminate an account in the event of a breach of these Terms.

2.5 Acceptable Use

You agree not to:

Use ConformVault for illegal or unauthorized purposes
Store or transmit content that infringes on the rights of third parties
Attempt to circumvent the platform's security mechanisms
Conduct security or penetration testing without prior written authorization
Use the platform to store manifestly illegal content
Resell or redistribute access to the service without authorization

2.6 Intellectual Property

The ConformVault platform, including its source code, interface, algorithms, and documentation, is the exclusive property of SecuAAS. No intellectual property rights are transferred to you through the use of the service.

The files and documents you store on ConformVault remain your exclusive property. SecuAAS claims no rights over your content.

2.7 Availability and Service Levels

SecuAAS commits to making commercially reasonable efforts to maintain the availability of ConformVault. However, the service is provided "as is" and "as available." Specific availability targets, if any, are defined in the service level agreement (SLA) applicable to your subscription plan.

Planned service interruptions will be communicated with reasonable notice.

2.8 Payment and Billing

Subscription fees are billed according to the chosen plan. Payment processing is handled by Stripe Inc. By providing your payment information, you authorize SecuAAS to charge the amounts due through Stripe.

Prices are listed in Canadian dollars (CAD) and are subject to applicable taxes (GST/QST).

2.9 Limitation of Liability

To the extent permitted by applicable law:

SecuAAS shall not be liable for indirect, incidental, special, consequential, or punitive damages
SecuAAS's total liability shall be limited to the amounts paid by the User during the 12 months preceding the claim
SecuAAS is not liable for data loss resulting from misuse by the User or force majeure

2.10 Termination

You may terminate your account at any time. After termination:

Your files will be deleted within 30 days
Billing data will be retained in accordance with legal obligations
No refund will be issued for the current subscription period

SecuAAS may terminate your account with 30 days' notice or immediately in the event of a breach of the Terms.

2.11 Governing Law and Jurisdiction

These Terms are governed by the laws of Quebec and the applicable federal laws of Canada. Any dispute shall be subject to the exclusive jurisdiction of the courts of the judicial district of Quebec City.

2.12 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
